01 Definitions
The following terms have the meanings set out below throughout this document. Additional terms are defined in the centralized legal configuration and apply throughout all Arcnode Network legal documents. In particular, the following terms carry the meanings defined in that configuration wherever they appear: Client, Team, Project, Team Role, and Client Portal.

| Content | Any data, text, files, or material submitted to, stored in, or generated through a Service. |
| Personal Data | Any information relating to an identified or identifiable natural person, as defined by the AVG / GDPR. |
| Client | A legal entity or professional who has engaged Arcnode Network for services and has been granted access to the Client Portal. |
| Team | A group of one or more Client Users within the Client Portal, associated with one or more Projects and governed by role-based access control. |
| Project | A billable engagement or body of work tracked within the Client Portal, belonging to a Team. |
| Team Role | The access level assigned to a Team member within the Client Portal: Owner, Admin, Member, or Viewer, each conferring distinct permissions. |
| Client Portal | The private, authenticated area of the Platform at arcnode.dev/client, accessible only to invited Clients. |
02 Acceptance of these Terms
By downloading, installing, accessing, or using any Service provided by Arcnode Network, you agree to be bound by these Terms. If you do not agree, you must stop using the Platform and its Services.
These Terms apply to all Services, including applications, web tools, APIs, and the website at arcnode.dev.
03 Eligibility
You must be at least 16 years of age within the European Economic Area (in line with Article 8 GDPR), or 13 years of age elsewhere, to use the Platform. By using a Service, you confirm that you meet this requirement.
If you are below the applicable minimum age, you may only use the Platform with the verified consent and active supervision of a parent or legal guardian who agrees to these Terms on your behalf.
04 Description of services
The Platform comprises a growing set of applications and services operated under the Arcnode Network brand. These currently include:
A cross-platform desktop journaling application.
A permissioned trust and safety operations environment.
Real-time color tracking and physics simulation for projection mapping.
A task management application, planned for a future launch.
A private project management and collaboration portal for Arcnode clients, providing project tracking, file exchange, task management, and structured intake forms.
New Services may be added to the Platform over time and will be governed by these Terms unless a Service publishes its own supplementary terms.
The Client Portal (arcnode.dev/client) is a private project management environment available exclusively to invited Clients. Access is granted by Arcnode Network at its sole discretion. Client Portal accounts are provisioned by Arcnode Network on behalf of the Client and are subject to these Terms. The Client Portal is a B2B service and its use by Clients who are legal entities or professionals does not give rise to consumer protection rights under Dutch consumer law in so far as the law permits such exclusion.
05 Licence and permitted use
Subject to your compliance with these Terms, Arcnode Network grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose.
You may:
- Download, install, and run our applications on devices you own or control.
- Use the Services as intended for your own personal or internal use.
- Submit feedback, feature requests, and bug reports.
You may not:
- Copy, modify, distribute, sell, sublicense, or transfer any part of a Service without our prior written permission.
- Reverse-engineer, decompile, or disassemble a Service except to the extent expressly permitted by applicable law.
- Use a Service in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Platform or its infrastructure.
06 Acceptable use
Your use of the Platform is subject to our Acceptable Use Policy, which prohibits abuse, fraud, malware, unauthorised access, resource abuse, and similar conduct. Where you interact with others on the Platform, our Community Guidelines also apply. Both documents are incorporated into these Terms by reference.
07 Intellectual property
All software, source code, designs, branding, logos, and content associated with the Platform are the intellectual property of Arcnode Network or are used with permission. The name Arcnode, the Arcnode logo, and associated product names are marks of Arcnode Network. You may not use them without prior written permission.
Content you create within a Service remains your property. We do not claim ownership of it and do not use it for any purpose beyond operating the Service for you. By submitting feedback, you grant us a non-exclusive, royalty-free licence to use it to improve the Platform.
Files uploaded to the Client Portal remain the intellectual property of the uploading party. Arcnode Network processes uploaded files solely to store, display, and deliver them within the Client Portal. Arcnode Network will not use uploaded file content for any purpose beyond operating the service. Files are deleted from Cloudflare R2 storage when the associated project or Client User account is deleted.
File uploads to the Client Portal are subject to a maximum file size of 500 MB per file. Arcnode Network reserves the right to enforce storage quotas and may remove excessively large files that place a disproportionate load on the Platform.
08 Service availability and modifications
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted access. We may modify, update, suspend, or discontinue any Service or feature at any time. Where we plan significant changes, we will make reasonable efforts to provide advance notice in the relevant Service or on the website.
09 Beta services
Some Services or features may be offered on a beta, preview, or early-access basis. Beta Services are provided for evaluation, may be incomplete or unstable, may change or be withdrawn without notice, and are offered without any warranty. Do not rely on a beta Service for critical purposes.
10 Premium services
Where a Service offers paid or premium features, the applicable pricing, billing cycle, and any additional terms will be presented to you before purchase. Statutory consumer rights, including any right of withdrawal under Dutch and EU consumer law, continue to apply. Unless stated otherwise at the point of sale, fees are exclusive of applicable taxes.
11 APIs and third-party integrations
Where we make an API available, your use of it is subject to these Terms and any documented usage limits. We may apply rate limits and may revoke API access where it is misused, threatens the stability of the Platform, or breaches these Terms.
The Services may integrate with or link to third-party products. Those third parties operate under their own terms and privacy policies, and we are not responsible for them. Review their terms before relying on an integration.
12 Suspension and termination
You may stop using the Services at any time. To delete your account and associated data, contact us as described in our Privacy Policy.
We may suspend or terminate your access where we reasonably believe you have breached these Terms, the Acceptable Use Policy, or the Community Guidelines, or where required by law. We will provide notice where reasonably practicable, except where doing so would compromise security, a legal obligation, or the safety of others.
Before deleting a Client User account that holds the Owner role in one or more Teams, the account holder must transfer ownership to another Team member. Arcnode Network is not responsible for loss of access to team resources resulting from account deletion without prior ownership transfer.
13 Disclaimers and limitation of liability
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.
To the maximum extent permitted by applicable law, Arcnode Network shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services, including loss of data or loss of profits.
Our total aggregate liability for claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or €50, whichever is greater.
Mandatory consumer rights
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, fraud, or intentional misconduct. If you are a consumer, your mandatory rights under Dutch law and EU consumer protection law apply regardless of these Terms.
14 Dispute resolution and governing law
These Terms are governed by and construed in accordance with Dutch law, without regard to its conflict-of-law rules. Disputes shall be subject to the competent courts of the Netherlands, except where mandatory consumer protection law in your jurisdiction provides otherwise.
If you are a consumer resident in the EEA, you may also bring proceedings in the courts of your country of habitual residence. We encourage you to contact us first so we can try to resolve any dispute informally.
15 Changes to these Terms
We may update these Terms when the Services change or when required by law. The effective date above reflects the current version. For material changes, we will provide prominent notice in the relevant Service or on the website before the changes take effect.
Continued use of the Services after the effective date of updated Terms constitutes your acceptance.
